Purpose
The purposes of the ArtsWest Artists Association shall be: to encourage artistic development of the members and maintain high artistic standards; to promote public appreciation and education in the visual arts; to provide opportunities for the display of members’ artwork; to perpetuate relationships among local artists and with other arts organizations in the community.
Membership Requirements, Fees and Administration
Membership is open to persons who are actively involved in the visual arts and are supporters of the ArtsWest organization. Members are required to maintain good standing by: keeping dues current, attending meetings, and participating in committees or holding office. Membership for 3 months or more is required before members may participate in the ArtsWest Artists Association Group show in the ArtsWest Gallery.
Membership fees consist of annual membership (at any level) in ArtsWest, plus $10 to the ArtsWest Artists Association. A 10% commission will be paid to ArtsWest on sales originating from any art venue associated with the Artists Association, with the exception the Members’ Show in the ArtsWest Gallery, for which standard Gallery rules will apply. The ArtsWest staff will process and administer all monies, records, and financial matters. The ArtsWest advisor and/or the executive director of ArtsWest must approve all published materials.

Meetings
General membership meetings are held on the second Monday of every month, in the ArtsWest Playhouse. Roberts Rules of Order will be used as a guide in conducting meetings.
Board and Officers
The Board of the ArtsWest Artists Association will consist of two co-chairs, a secretary, a treasurer, and the ArtsWest Advisor. The term of office for co-chairs will be 2 years, with one co-chair being elected alternately each year. The Board is the governing body of the ArtsWest Artists Association, and may enforce standing rules as necessary. This Board will meet quarterly, or as business demands, and may include ad hoc committees as necessary.
The co-chairs will preside over meetings, appoint committee chairpersons, and have supervision over the general affairs of the association. Either co-chair may sign authorized documents for the Association, in regard to ArtsWest Artists Association business matters.
The Secretary will record the minutes of the meeting, attend to correspondence as directed by the co-chairs, and provide a copy to ArtsWest Administrative Director. In the absence of both co-chairs, the secretary will preside over meetings.
The Treasurer will receive membership fees, maintain accurate records of financial matters, and submit monthly summary reports to the membership.

Elections, Nominations, and Committees
Elections will be held annually at the May meeting. The term of office shall be for one year, but may not exceed two consecutive years of service in the same office. The term will begin June 1 and end May 31. In the event of a vacancy, the Board may appoint a temporary officer until the next election.
Nominations for office may be presented to any Board member prior to the May election meeting, and will also be taken directly from the floor. Members being nominated for office must accept nomination before the vote is taken. When there is more than one nominee for office, written ballots will be taken.
The Board as necessary will appoint ad Hoc committees.

Annual Members' Show
Members are eligible to show artwork in the Annual Members’ Show at the ArtsWest Gallery, based on maintaining membership in good standing (see requirements above). Artworks displayed and sold during the Gallery show will be subject to standard ArtsWest Gallery requirements and commissions. The ArtsWest Visual Arts Gallery Director will have final approval of the artworks displayed, and the ArtsWest Gallery staff will hang the show.
Liability
ArtsWest Artists Association members will be responsible for their own insurance protection for their artwork. Any exhibiting member will agree to hold ArtsWest and the ArtsWest Artists Association harmless for loss, theft, damage or destruction of any artwork displayed in an Association show. The exception to this clause will be the Annual Members’ Show, for which standard ArtsWest Gallery contract rules and requirements will apply.

Changes and Amendments
Changes and amendments to standing rules must be presented to the ArtsWest Artists Association Board prior to a membership meeting, and be approved by a two-thirds majority vote of the membership present at the meeting in which the order of business is presented.
